Terms of Service

These Terms of Service ("Terms") are an agreement between Zenith Code("Zenith Code", "we", "us") and the business or person ("Client", "you") using our website (zenithcode.io), application (app.zenithcode.io) and AI-powered WhatsApp Agent services (the "Service"). By creating an account or using the Service, you accept these Terms.

1. The Service

Zenith Code provides an AI-powered WhatsApp agent that connects to your WhatsApp Business account and automatically handles incoming customer enquiries — responding 24x7, sharing your approved business information, qualifying leads, and booking visits, test drives or counselling sessions on your behalf. The Service includes a web dashboard for conversations, leads, broadcasts, templates, team members and billing.

2. Eligibility and accounts

  • The Service is for business use only by persons aged 18 or above with authority to bind the business they represent.
  • You must provide accurate account and business information and keep it updated.
  • You are responsible for all activity under your account and for keeping login credentials confidential. Notify us immediately of any unauthorised use.

3. Client obligations and acceptable use

You agree that you will:

  • Obtain valid opt-in from every End User before initiating WhatsApp conversations with them through the Service, and honour opt-out requests promptly.
  • Comply with the WhatsApp Business Messaging Policy, WhatsApp Commerce Policy and all Meta platform terms applicable to your WhatsApp Business account.
  • Not use the Service for spam, bulk unsolicited messaging, harassment, misleading claims, or any unlawful purpose.
  • Not use the Service for goods or services prohibited on the WhatsApp platform (including, without limitation, illegal products, drugs, weapons, tobacco, alcohol, gambling, adult content, and other categories restricted by Meta or Indian law).
  • Ensure that all business information, catalogues, prices and offers you configure for the AI agent are accurate and lawful, and that you have the rights to all content you upload.
  • Comply with the Digital Personal Data Protection Act, 2023 with respect to your End Users' data, for which you act as the data fiduciary. Zenith Code processes End User data on your behalf as described in our Privacy Policy.

We may suspend or terminate accounts that violate this section, with or without notice, to protect the platform and comply with Meta policies.

4. Plans, credits and billing

  • The Service is offered on subscription plans (such as Starter, Growth and Agency) as described at zenithcode.io or in your order/quotation. Plan fees are payable in advance for each billing cycle.
  • Prepaid credits: variable usage costs — including AI processing and Meta's per-conversation charges — are covered through prepaid credits purchased separately from your plan. Credits are deducted as usage occurs. Credits are valid for 12 months from purchase and are non-transferable.
  • If your credit balance is exhausted, automated responses may pause until credits are topped up.
  • All fees are exclusive of applicable taxes (including GST), which will be charged additionally. Tax invoices will be issued for all payments.
  • Payments are processed through our payment gateway (Razorpay). We do not store your card or UPI credentials.
  • We may revise plan pricing with at least 30 days' notice; revised prices apply from your next billing cycle.
  • Refunds and cancellations are governed by our Refund & Cancellation Policy.

5. WhatsApp and third-party dependencies

The Service depends on third-party platforms and providers, including Meta's WhatsApp Business Platform, AI model providers and cloud infrastructure. You acknowledge that:

  • Meta may change its platform, policies, pricing or API availability at any time; such changes may affect the Service.
  • Zenith Code is not responsible for actions taken by Meta against your WhatsApp Business account (including restrictions or bans) arising from your messaging practices, content or policy violations.
  • Meta's conversation-based charges are set by Meta and may change; these are passed through via credits.
  • Temporary unavailability of third-party services may cause interruption of the Service without liability to us.

6. AI-generated responses — disclaimer

The Service uses artificial intelligence to generate responses automatically. You acknowledge and agree that:

  • AI outputs are probabilistic and may occasionally be inaccurate, incomplete or out of date.
  • You are responsible for reviewing the business information provided to the AI and for verifying any critical commitments (final prices, discounts, stock, delivery timelines, legal or financial statements) before honouring them.
  • The Service does not provide legal, financial, medical or other professional advice.
  • You will not represent AI responses as guaranteed statements of Zenith Code.

7. Your data and our platform

  • Your data stays yours. You retain all rights to your business content, catalogues, contact lists and conversation data. You grant us a licence to host and process this data solely to provide and improve the Service.
  • Our platform stays ours. Zenith Code retains all rights in the software, AI configurations, workflows, designs, documentation and branding of the Service. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, resell, reverse-engineer or build a competing service using our platform.
  • On termination, you may request an export of your data within 30 days, after which we may delete it in line with our Privacy Policy.
  • Feedback you share may be used to improve the Service without obligation to you.

8. Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform under these Terms, except where disclosure is required by law.

9. Availability and support

We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. Planned maintenance will be communicated where practical. Support is provided via WhatsApp and email at support@zenithcode.io.

10. Suspension and termination

  • You may cancel your subscription at any time as per the Refund & Cancellation Policy.
  • We may suspend or terminate the Service immediately if you breach these Terms, misuse the platform, violate Meta policies or applicable law, or fail to pay fees when due.
  • Sections that by their nature should survive termination (including fees due, IP, confidentiality, disclaimers, limitation of liability and governing law) will survive.

11. Warranties disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant any particular volume of leads, sales or business outcomes.

12. Limitation of liability

To the maximum extent permitted by law:

  • Zenith Code will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill.
  • Our total aggregate liability arising out of or relating to the Service will not exceed the fees paid by you to Zenith Code in the three (3) months preceding the event giving rise to the claim.

13. Indemnity

You will indemnify and hold harmless Zenith Code from claims, losses and expenses (including reasonable legal fees) arising from your content, your messaging practices, your violation of these Terms, Meta policies or applicable law, or your infringement of any third party's rights.

14. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to any mandatory law, the courts at Ranchi, Jharkhand shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the website, dashboard or email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
